תקנון טורניר כדורגל השולחן "Agadir Foosball Cup"

תקנון זה מסדיר את התנאים, ההוראות והכללים שלפיהם ינוהל ויתקיים טורניר "Agadir Foosball Cup" על ידי המפעילה (כהגדרתה להלן).

1. הגדרות

למונחים שלהלן תהיה המשמעות שלצדם:

• "המפעילה" — פרסיליה יזמות בע"מ, ח.פ. 512190760, מרח' נחלת בנימין 2, תל אביב-יפו.
• "אגאדיר" או "הרשת" — רשת מסעדות ההמבורגר "אגאדיר", בבעלות המפעילה.
• "הטורניר" — טורניר כדורגל שולחן נושא פרסים, אשר ייערך בהתאם להוראות תקנון זה, ובמסגרתו יהיו הקבוצות המנצחות זכאיות לפרסים, והכל בכפוף להוראות התקנון.
• "משחק" — משחק כדורגל שולחן בין שתי קבוצות שנרשמו לטורניר, לפי הנחיות תקנון זה.
• "משבצת זמן" או "משבצת" — כל רבע שעה (15 דקות), בין השעות 19:00 ל-22:00 במהלך תקופת הטורניר (לדוגמה: משבצת ראשונה בשעה 19:00, משבצת שנייה בשעה 19:15, וכן הלאה).
• "קבוצה" — זוג שחקנים בגירים (מעל גיל 18), העומדים בהוראות תקנון זה.
• "הפרסים" — כל הפרסים המפורטים להלן, בהתאם לשלב בו זכתה הקבוצה במהלך הטורניר:
  • "פרס אלופי המסעדות" — מיני מקרר מלא בבירה Carlsberg. הפרס יוענק לקפטן הקבוצה הזוכה בכל אחד מסניפי אגאדיר המשתתפים.
  • "הפרס הראשי" — חוויית פוד-טראק פרטית של משאית מזון מבית "אגאדיר", הכוללת עד 100 ארוחות המבורגר של אגאדיר, כאשר כל ארוחה כוללת המבורגר, צ'יפס ושתייה קלה.
• "אתר הטורניר" — https://foosball.agadir.co.il.
• "סניפי אגאדיר המשתתפים" — הטורניר ייערך בכל אחד מהסניפים הבאים:
  • סניף חיפה — רח' דוד פינסקי 6, חיפה.
  • סניף הוד השרון — דרך רמתיים 51, הוד השרון.
  • סניף נמל תל אביב — נמל תל אביב, תל אביב.
  • סניף נחלת בנימין — רח' נחלת בנימין 2, תל אביב.
  • סניף ראשון לציון — רח' לזרוב 33, ראשון לציון.
  • סניף אילת — רח' קמן 10, אילת.
• "תקופת הטורניר" — החל מיום 11.6.2026 ועד ליום 19.7.2026.
• "התקנון" או "תקנון זה" — תקנון זה של הטורניר.

2. פרשנות

• המבוא לתקנון זה מהווה חלק בלתי נפרד ממנו.
• בכל מקרה של סתירה או אי-התאמה בין הוראות תקנון זה לבין כל פרסום אחר בקשר עם הטורניר — לרבות בעיתונות הכתובה או המשודרת, באתר הטורניר, בעמודי הסושיאל של אגאדיר או בכל אמצעי פרסום אחר — תגברנה הוראות תקנון זה לכל דבר ועניין, אלא אם פורסמה הודעה מפורשת מטעם המפעילה בדבר שינוי תנאי התקנון.
• הכותרות בתקנון זה נועדו לנוחות הקריאה בלבד ולא ישמשו לצורך פרשנותו.
• השימוש בלשון זכר או יחיד בתקנון זה הוא לצורכי נוחות בלבד, והוא כולל גם לשון נקבה ורבים, לפי העניין.

3. ההשתתפות בטורניר

3.1 הרשמה לטורניר

• ההרשמה לטורניר תתבצע באמצעות אתר הטורניר, דרך חשבון Google של אחד מחברי הקבוצה, אשר ישמש כ"קפטן" הקבוצה לצורכי ההרשמה, קבלת הודעות מהמפעילה וההתנהלות באתר הטורניר.
• לאחר ביצוע ההרשמה, כל קבוצה תירשם למשבצת זמן בה תרצה להתחרות, בסניף לבחירתה מתוך סניפי אגאדיר המשתתפים בטורניר.
• ההשתתפות בטורניר כפופה לביצוע הזמנה של ארוחה באחד מסניפי אגאדיר המשתתפים. במסגרת הזמנת הארוחה הראשונה של כל קבוצה במהלך הטורניר, תהיה הקבוצה זכאית להטבה חד-פעמית — קנקן בירה Carlsberg או מנת "כנפיים פיקנטיות", על חשבון הבית, לפי בחירת הקבוצה ("ההטבה"). מובהר כי ההטבה תינתן פעם אחת בלבד לכל קבוצה במהלך כל תקופת הטורניר, וכי מימושה כפוף לזמינות המוצרים בסניף הרלוונטי.

3.2 מועדי הטורניר

• הטורניר ייערך בכל ערב במהלך תקופת הטורניר בסניפי אגאדיר המשתתפים, למעט ביום הגמר (כהגדרתו להלן), בין השעות 19:00 ל-22:00.
• המפעילה תהיה רשאית, לפי שיקול דעתה הסביר, לשנות את מועדי המשבצות, לבטל משבצות, לאחדן או לעדכן את לוח המשחקים — בין היתר בהתאם להיקף ההרשמה, אילוצים תפעוליים או אירועים מיוחדים בסניף הרלוונטי — ובלבד שהדבר יפורסם באתר הטורניר ו/או יימסר לקבוצות הרלוונטיות, ככל שניתן בנסיבות העניין.
• אירוע גמר הטורניר ייערך ביום 19.7.2026 ("יום הגמר") בסניף נחלת בנימין.

3.3 השתתפות, צבירת הנקודות וזוכי הסניפים

• כל קפטן יהיה רשאי לרשום את קבוצתו למשחק אחד (1) בלבד בכל יום קלנדרי באחד מסניפי אגאדיר המשתתפים, בהתאם למשבצות הפנויות המופיעות באתר הטורניר ובכפוף לזמינותן בפועל.
• כל משחק ייערך בין שתי קבוצות שנרשמו לאותה משבצת זמן. ככל שלמשבצת זמן מסוימת לא תירשמנה בפועל שתי קבוצות, או שלא ניתן יהיה לקיים את המשחק במועדו מסיבה תפעולית, תהיה המפעילה רשאית, לפי שיקול דעתה הסביר, לבטל את המשחק, לשבץ את הקבוצה או הקבוצות למשבצת אחרת או לקבוע כל הסדר סביר אחר.
• כל משחק יימשך עד 15 דקות או עד שאחת הקבוצות תצבור 10 שערים, לפי המוקדם. קבוצה שניצחה במשחק זוכה בנקודה אחת (1).
• בתום תקופת הטורניר, בכל אחד מסניפי אגאדיר המשתתפים, יוענק פרס אלופי המסעדות לקפטן הקבוצה שצברה את מספר הנקודות הגבוה ביותר באותו סניף.
• במקרה של שוויון במספר הנקודות בין קבוצות באותו סניף, יוכרע הדירוג לפי הפרש השערים. אם יוסיף להתקיים שוויון גם בהפרש השערים, ייערך בין הקבוצות משחק הכרעה בשיטת "גול הזהב" (הגול הראשון מנצח), במועד ובמקום שתקבע המפעילה. ככל שיידרש, תהיה המפעילה רשאית לקבוע הסדר סביר אחר להכרעת השוויון, לפי שיקול דעתה הסביר.
• הודעת זכייה בפרס אלופי המסעדות תימסר לקפטן הקבוצה הזוכה באופן אישי על ידי המפעילה, בהתאם לאמצעי ההתקשרות שנמסרו על ידו במסגרת ההרשמה לטורניר. אופן מסירת הפרס ומועד מסירתו יתואמו בין המפעילה לבין הקפטן הזוכה.
• ככל שלא יעלה בידי המפעילה ליצור קשר עם הקפטן הזוכה, מכל סיבה שהיא, לאחר שנקטה באמצעים סבירים ליצירת קשר כאמור, תהיה המפעילה רשאית לבטל את הזכייה ולנהוג בפרס לפי שיקול דעתה הסביר.

4. הגמר ואופן מימוש הפרס הראשי

• ארבע הקבוצות בעלות מספר הנקודות המצטבר הגבוה ביותר במהלך תקופת הטורניר יוזמנו להשתתף באירוע הגמר, אשר יכלול שני משחקים בין ארבע הקבוצות שהעפילו לגמר, באופן ובסדר שייקבעו על ידי המפעילה, וכן ארוחת המבורגר במתנה לכל אחד מהמשתתפים שעלו לגמר, על חשבון המפעילה וללא עלות. ארוחת המבורגר לצורך סעיף זה כוללת המבורגר, צ'יפס קטן ושתייה קלה לבחירה מהמגוון הקיים בסניף נחלת בנימין.
• שתי הקבוצות המנצחות בסיבוב הראשון יעפילו לסיבוב השני, והקבוצה שתנצח בסיבוב השני תזכה בפרס הראשי.
• לצורך קביעת ארבע הקבוצות שיעפילו לאירוע הגמר, ייערך דירוג כללי לפי מספר הנקודות המצטבר שצברה כל קבוצה במהלך תקופת הטורניר. במקרה של שוויון יחולו, בשינויים המחויבים, כללי שובר השוויון הקבועים בסעיף 3.3 לעיל.
• קבוצה שהוזמנה להשתתף באירוע הגמר ולא אישרה את השתתפותה במועד שייקבע על ידי המפעילה, או שלא התייצבה לאירוע הגמר במועד, תהיה המפעילה רשאית לפסול אותה מהשתתפות באירוע הגמר.
• את הפרס הראשי ניתן יהיה לממש בתוך שישה (6) חודשים ממועד הזכייה, בשטח מדינת ישראל בלבד, ולא מדרום לעיר אשדוד או מצפון לעיר נתניה, והכל בכפוף לתיאום מראש עם המפעילה ולזמינות הפוד-טראק.
• ככל שהפרס הראשי ימומש בשטח ציבורי, יהיה על הזוכה להסדיר מראש, על אחריותו ועל חשבונו, את כל האישורים, ההיתרים והרישיונות הנדרשים מהרשויות הרלוונטיות לצורך הפעלת הפוד-טראק באותו שטח.
• מימוש הפרס הראשי כפוף לאישור המפעילה ולתיאום מראש עמה, לרבות לעניין מועד המימוש, מיקום המימוש, היבטים תפעוליים ולוגיסטיים וזמינות הפוד-טראק.
• ככל שהזוכה לא יתאם את מימוש הפרס הראשי בתוך התקופה האמורה, או לא יעמוד בתנאים הנדרשים למימושו, תפקע זכותו לפרס והוא לא יהיה זכאי לכל פיצוי, תמורה או סעד אחר בקשר לכך.
• רישומי המפעילה ו/או מי מטעמה בדבר תוצאות המשחקים, מספר השערים, הפרש השערים ומספר הנקודות שצברה כל קבוצה, כפי שיעודכנו באתר הטורניר ו/או במערכות המפעילה, יהיו הקובעים לצורך ניהול הטורניר, הדירוג וקביעת הקבוצה הזוכה.
• המפעילה תהיה רשאית, לפי שיקול דעתה הסביר, לפסול את זכייתו של זוכה בפרס אם קיים חשד סביר כי הזכייה הושגה תוך הפרת הוראות תקנון זה, הפרת דין (לרבות ביצוע עבירה פלילית או עוולה אזרחית), מרמה, התחזות, זיוף או פריצה לאתר הטורניר. זוכה שזכייתו נפסלה כאמור לא יהיה זכאי לכל פיצוי או סעד אחר מהמפעילה.
• כל פרס שיחולק במסגרת הטורניר הוא אישי, ואינו ניתן להסבה, להעברה, להחלפה, לשינוי או להמרה — לא בכסף, לא בשווה כסף ולא בכל פרס ו/או מוצר אחר.

5. הגבלת אחריות

• ההשתתפות בטורניר היא באחריותו הבלעדית של המשתתף. המפעילה לא תישא באחריות לכל נזק (לרבות נזק גוף), הפסד, אובדן או הוצאה, מכל מין וסוג, שייגרמו למי מהמשתתפים בקשר, במישרין או בעקיפין, עם הטורניר.
• בכל מקרה שבו יוכח כי תקלה, פגיעה או רשלנות של משתתף, של המפעילה או של צד שלישי כלשהו מנעה ממשתתף להשתתף בטורניר, לזכות בפרסים או לממשם — תהיה המפעילה פטורה מאחריות.
• המפעילה, מנהליה, עובדיה וכל מי מטעמה לא יישאו באחריות, בכל צורה שהיא, לתקינות הפרסים, לטיבם, להתאמתם למטרה מסוימת, או לכל פגם, קלקול, אי-התאמה או נזק שייגרמו בקשר עם הפרסים.
• המפעילה תהיה רשאית למסור כל מידע שתידרש למסור על פי דין או בהתאם להוראת רשות מוסמכת.

6. פרטיות

• שימוש בפרטים האישיים שיימסרו על ידי הקפטן של כל קבוצה במהלך הרישום ו/או פרטים אישיים אחרים שיימסרו על ידי המשתתפים במהלך הטורניר ייעשה בהתאם לדין החל ובהתאם למדיניות הפרטיות שפורסמה באתר הטורניר.
• המשתתף מאשר כי המפעילה ו/או מי מטעמה יהיו רשאים לצלם, לתעד ולהשתמש בתמונות ובסרטונים מהטורניר, וכן להעתיק, לשכפל, להפיץ, לשווק, לפרסם, להציג לציבור, לעבד, לערוך, לתרגם, לשנות, לשדר ולעשות בהם שימוש — כולם או חלקם, מספר בלתי מוגבל של פעמים — לפי שיקול דעתה של המפעילה ובכל מדיה, פלטפורמה או אפיק שיווקי ופרסומי (לרבות טלוויזיה, דפוס, פרסום חוצות, אינטרנט, מדיה דיגיטלית, מדיה סלולרית, כבלים, לוויין וכל אמצעי מדיה אחר), והכל לצורכי פרסום הטורניר, הרשת והמפעילה, וללא תמורה למשתתף.

7. קניין רוחני

• כל זכויות הקניין הרוחני הקשורות לטורניר ולאתר הטורניר — לרבות התכנים, העיצוב, הסימנים, התוכנות, הקוד, הגרפיקה, הקבצים והחומרים הכלולים בהם, בין אם זכויות אלה רשומות ובין אם לאו — שייכות למפעילה ו/או לצדדים שלישיים, לפי העניין, ותישארנה בבעלותם הבלעדית.
• המשתתף מתחייב לעשות שימוש באתר הטורניר לצורך השתתפות בטורניר בלבד, בהתאם להוראות תקנון זה ולהוראות הדין.

8. שונות

• בעצם הרשמתו לטורניר מאשר המשתתף כי קרא את תקנון זה, הבין את הוראותיו, מסכים להן ומתחייב לפעול לפיהן.
• המשתתף מסכים לקבל מהמפעילה ו/או ממי מטעמה הודעות במדיה אלקטרונית או אחרת, לרבות הודעות SMS, WhatsApp, דוא"ל וכיו"ב, בכל עניין הקשור לטורניר. ההשתתפות בטורניר מהווה את הסכמת המשתתף לקבלת הודעות כאמור.
• המפעילה שומרת לעצמה את הזכות לבטל את הטורניר, כולו או חלקו, וכן לצמצם או להגדיל את מספר הפרסים וסוגיהם, לפי שיקול דעתה הסביר, לרבות במקרה שבו תתגלה תקלה, שיבוש, מניעה, הפרעה, כוח עליון, אילוץ תפעולי, בטיחותי, מסחרי או כל נסיבה אחרת שיש בהם כדי לפגוע בניהול התקין של הטורניר או ביכולת המשתתפים להשתתף בו. בנוסף, במקרים המצדיקים זאת, תהיה המפעילה רשאית לשנות את מבנה הטורניר, שלביו, תכניו, הפרסים המוענקים במסגרתו, מתכונתו או תקופתו. הודעה בדבר שינוי כאמור תפורסם באתר הטורניר ו/או בעמודי הסושיאל של אגאדיר ו/או בכל דרך אחרת שהמפעילה תמצא לנכון.
• מובהר כי במהלך תקופת הטורניר עשוי התקנון להתעדכן. נוסחו המעודכן של התקנון יפורסם באתר הטורניר, ייכנס לתוקף ממועד פרסומו (אלא אם צוין בו אחרת), ויהיה זמין לעיון גם במשרדי המפעילה, בתיאום מראש.
• מובהר כי המשתתף לא יהיה זכאי לכל פיצוי מהמפעילה בכל מקרה, ובכלל זה במקרה שבו יוכח כי רשלנות של המפעילה מנעה ממנו להשתתף בטורניר או לזכות בפרס.
• ההשתתפות בטורניר אינה כרוכה בדמי רישום או בתשלום ייעודי למפעילה או למי מטעמה בגין עצם ההשתתפות בטורניר.
• ההשתתפות בטורניר אסורה על עובדי המפעילה, עובדי אגאדיר, מנהליהם, שותפיהם, עוזריהם ובני משפחותיהם.
• למען הסר ספק, תקנון זה נועד להסדיר את הטורניר בלבד; הטורניר לא ייחשב כהגרלה כהגדרתה בסעיף 224 לחוק העונשין, שכן הזכייה בטורניר אינה תלויה בגורל אלא במיומנות.
• הדין החל על תקנון זה ועל כל הנובע ממנו הוא הדין הישראלי בלבד, וסמכות השיפוט הייחודית בכל עניין הקשור בו נתונה לבתי המשפט המוסמכים בתל אביב.
• לכל שאלה, בירור או בקשה לפרטים נוספים בנוגע לטורניר, ניתן לפנות למפעילה בטלפון *5690 או בדוא"ל info@agadir.co.il.

"Agadir Foosball Cup" Tournament Terms

These Terms govern the conditions, instructions and rules under which the "Agadir Foosball Cup" tournament will be managed and held by the Operator (as defined below).

1. Definitions

The following terms shall have the meanings set out beside them:

• "Operator" — Persilya Yazamut Ltd. (פרסיליה יזמות בע"מ), company no. 512190760, of Nahalat Binyamin 2, Tel Aviv-Yafo.
• "Agadir" or the "Chain" — the "Agadir" hamburger restaurant chain, owned by the Operator.
• "Tournament" — a prize-bearing foosball tournament, held in accordance with these Terms, in which the winning teams are entitled to prizes, all subject to these Terms.
• "Match" — a foosball game between two teams registered for the Tournament, per these Terms.
• "Time slot" or "slot" — each quarter-hour (15 minutes) between 19:00 and 22:00 during the Tournament Period (e.g., first slot at 19:00, second at 19:15, and so on).
• "Team" — a pair of adult players (over the age of 18) who comply with these Terms.
• "Prizes" — all the prizes set out below, according to the stage the team reached:
  • "Restaurant Champions' Prize" — a mini fridge stocked with Carlsberg beer, awarded to the captain of the winning team at each participating Agadir restaurant.
  • "Grand Prize" — a private Agadir food-truck experience, including up to 100 Agadir hamburger meals, where each meal includes a hamburger, fries and a soft drink.
• "Tournament Site" — https://foosball.agadir.co.il.
• "Participating Agadir restaurants" — the Tournament will be held at each of the following:
  • Haifa — 6 David Pinski St., Haifa.
  • Hod HaSharon — 51 Derech Ramataim, Hod HaSharon.
  • Tel Aviv Port — Tel Aviv Port, Tel Aviv.
  • Nahalat Binyamin — 2 Nahalat Binyamin St., Tel Aviv.
  • Rishon LeZion — 33 Lazarov St., Rishon LeZion.
  • Eilat — 10 Kamen St., Eilat.
• "Tournament Period" — from June 11, 2026 to July 19, 2026.
• "the Terms" or "these Terms" — these Tournament Terms.

2. Interpretation

• The preamble to these Terms forms an integral part of them.
• In any case of conflict or inconsistency between these Terms and any other publication relating to the Tournament — including in print or broadcast media, on the Tournament Site, on Agadir's social pages or any other advertising medium — these Terms shall prevail in all respects, unless an express notice of a change to the Terms has been published by the Operator.
• Headings in these Terms are for reading convenience only and shall not be used to interpret them.
• Use of the masculine or singular in these Terms is for convenience only and also includes the feminine and plural, as the context requires.

3. Participation in the Tournament

3.1 Registration

• Registration is made through the Tournament Site, via the Google account of one of the team members, who will act as the team "captain" for registration, receiving notices from the Operator, and managing activity on the Tournament Site.
• After registering, each team will sign up for a time slot in which it wishes to compete, at a restaurant of its choice among the participating Agadir restaurants.
• Participation is conditional on ordering a meal at one of the participating Agadir restaurants. With the first meal order of each team during the Tournament, the team is entitled to a one-time benefit — a Carlsberg beer pitcher or a "spicy wings" dish, on the house, at the team's choice (the "Benefit"). The Benefit is granted only once per team during the entire Tournament Period, and its redemption is subject to product availability at the relevant restaurant.

3.2 Tournament times

• The Tournament is held every evening during the Tournament Period at the participating Agadir restaurants, except on the Final Day (as defined below), between 19:00 and 22:00.
• The Operator may, at its reasonable discretion, change slot times, cancel slots, merge them or update the match schedule — among other things based on registration volume, operational constraints or special events at the relevant restaurant — provided that this is published on the Tournament Site and/or communicated to the relevant teams, as far as possible.
• The Tournament's final event will be held on July 19, 2026 (the "Final Day") at the Nahalat Binyamin restaurant.

3.3 Participation, scoring and restaurant winners

• Each captain may register their team for one (1) match only per calendar day at one of the participating Agadir restaurants, according to the available slots shown on the Tournament Site and subject to their actual availability.
• Each match is played between two teams registered for the same time slot. If two teams are not actually registered for a given slot, or the match cannot be held on time for an operational reason, the Operator may, at its reasonable discretion, cancel the match, assign the team(s) to another slot, or set any other reasonable arrangement.
• Each match lasts up to 15 minutes or until one team reaches 10 goals, whichever is earlier. A team that wins a match earns one (1) point.
• At the end of the Tournament Period, at each participating Agadir restaurant, the Restaurant Champions' Prize is awarded to the captain of the team that scored the most points at that restaurant.
• In case of a tie in points between teams at the same restaurant, ranking is decided by goal difference. If a tie also remains in goal difference, a "golden-goal" decider match (first goal wins) will be played between the teams, at a time and place set by the Operator. If necessary, the Operator may set another reasonable arrangement to break the tie, at its reasonable discretion.
• Notice of winning the Restaurant Champions' Prize will be given personally to the winning team's captain by the Operator, using the contact details provided at registration. The manner and timing of prize delivery will be coordinated between the Operator and the winning captain.
• If the Operator is unable to reach the winning captain, for any reason, after taking reasonable steps to do so, the Operator may cancel the win and deal with the prize at its reasonable discretion.

4. The final and redemption of the Grand Prize

• The four teams with the highest cumulative points during the Tournament Period will be invited to the final event, which will include two rounds of matches among the four qualifying teams, in a manner and order set by the Operator, as well as a complimentary hamburger meal for each finalist, at the Operator's expense and at no cost. The hamburger meal for this section includes a hamburger, small fries and a soft drink chosen from the range available at the Nahalat Binyamin restaurant.
• The two teams that win the first round advance to the second round, and the team that wins the second round will be awarded the Grand Prize.
• To determine the four teams that advance to the final event, an overall ranking will be made by cumulative points scored by each team during the Tournament Period. In case of a tie, the tie-breaker rules in section 3.3 above apply, mutatis mutandis.
• A team invited to the final event that does not confirm its participation by the time set by the Operator, or does not show up on time, may be disqualified by the Operator from the final event.
• The Grand Prize may be redeemed within six (6) months of the win, within the territory of the State of Israel only, and not south of the city of Ashdod or north of the city of Netanya, all subject to advance coordination with the Operator and to the availability of the food truck.
• If the Grand Prize is redeemed in a public space, the winner must arrange in advance, at their own responsibility and expense, all approvals, permits and licenses required from the relevant authorities to operate the food truck in that space.
• Redemption of the Grand Prize is subject to the Operator's approval and advance coordination, including as to the date, location, operational and logistical aspects, and availability of the food truck.
• If the winner does not coordinate redemption of the Grand Prize within the said period, or does not meet the conditions for its redemption, the right to the prize will lapse and the winner will not be entitled to any compensation, consideration or other remedy in connection therewith.
• The records of the Operator and/or those on its behalf regarding match results, the number of goals, goal difference and points scored by each team, as updated on the Tournament Site and/or the Operator's systems, are decisive for managing the Tournament, the ranking and determining the winning team.
• The Operator may, at its reasonable discretion, disqualify a prize win if there is reasonable suspicion that it was obtained in breach of these Terms, breach of law (including a criminal offense or civil wrong), fraud, impersonation, forgery or hacking of the Tournament Site. A winner whose win was disqualified as stated is not entitled to any compensation or other remedy from the Operator.
• Every prize awarded in the Tournament is personal and may not be assigned, transferred, exchanged, modified or converted — not into money, money's worth, or any other prize or product.

5. Limitation of liability

• Participation in the Tournament is at the participant's sole responsibility. The Operator will not be liable for any damage (including bodily injury), loss or expense of any kind caused to any participant in connection, directly or indirectly, with the Tournament.
• In any case where it is shown that a fault, injury or negligence of a participant, the Operator or any third party prevented a participant from participating in the Tournament, winning prizes or redeeming them, the Operator will be exempt from liability.
• The Operator, its directors, employees and anyone on its behalf will not be liable, in any way, for the soundness of the prizes, their quality, their fitness for a particular purpose, or for any defect, fault, non-conformity or damage in connection with the prizes.
• The Operator may disclose any information it is required to disclose under law or per the instruction of a competent authority.

6. Privacy

• Use of the personal details provided by each team's captain during registration and/or other personal details provided by participants during the Tournament will be made in accordance with applicable law and the Privacy Policy published on the Tournament Site.
• The participant confirms that the Operator and/or those on its behalf may photograph, record and use photos and videos from the Tournament, and may copy, reproduce, distribute, market, publish, display to the public, process, edit, translate, modify, broadcast and otherwise use them — in whole or in part, an unlimited number of times — at the Operator's discretion and in any media, platform or marketing and advertising channel (including television, print, outdoor advertising, internet, digital media, cellular media, cable, satellite and any other media), all for the purposes of promoting the Tournament, the Chain and the Operator, and without compensation to the participant.

7. Intellectual property

• All intellectual property rights relating to the Tournament and the Tournament Site — including the content, design, marks, software, code, graphics, files and materials contained therein, whether registered or not — belong to the Operator and/or third parties, as applicable, and shall remain their exclusive property.
• The participant undertakes to use the Tournament Site solely for participating in the Tournament, in accordance with these Terms and the law.

8. Miscellaneous

• By registering for the Tournament, the participant confirms that they have read these Terms, understood their provisions, agree to them and undertake to act in accordance with them.
• The participant agrees to receive from the Operator and/or those on its behalf notices via electronic or other media, including SMS, WhatsApp, email and the like, on any matter relating to the Tournament. Participation in the Tournament constitutes the participant's consent to receive such notices.
• The Operator reserves the right to cancel the Tournament, in whole or in part, and to reduce or increase the number and types of prizes, at its reasonable discretion, including in the event of a fault, disruption, prevention, interference, force majeure, or operational, safety or commercial constraint, or any other circumstance that may impair the proper conduct of the Tournament or participants' ability to take part in it. In addition, where justified, the Operator may change the Tournament's structure, stages, content, prizes, format or period. Notice of such a change will be published on the Tournament Site and/or on Agadir's social pages and/or in any other way the Operator sees fit.
• It is clarified that during the Tournament Period the Terms may be updated. The updated version will be published on the Tournament Site, take effect from the date of its publication (unless otherwise stated therein), and also be available for review at the Operator's offices, by prior arrangement.
• The participant will not be entitled to any compensation from the Operator in any case, including where it is shown that the Operator's negligence prevented them from participating in the Tournament or winning a prize.
• Participation in the Tournament does not involve registration fees or any dedicated payment to the Operator or anyone on its behalf for the participation itself.
• Participation in the Tournament is prohibited for employees of the Operator, employees of Agadir, their managers, partners, assistants and family members.
• For the avoidance of doubt, these Terms are intended to govern the Tournament only; the Tournament will not be considered a lottery as defined in section 224 of the Penal Law, since winning the Tournament depends not on chance but on skill.
• These Terms and anything arising from them are governed solely by Israeli law, and exclusive jurisdiction over any matter relating to them lies with the competent courts in Tel Aviv.
